1. Definitions
For clarity throughout these Terms of Service (“Terms”):
“WeProcess” / “we” / “us” / “our” refers to WeProcess Ltd.
“Partner” / “you” / “your” refers to any individual, firm, company, or organisation that engages WeProcess to provide services.
“Services” means the process serving, document handling, and associated support provided by WeProcess Ltd.
“Instruction” means a request submitted by a Partner for WeProcess to carry out Services.
“Documents” means the materials provided by the Partner for service.
2. Acceptance of Terms
By submitting an Instruction to WeProcess, you agree to be bound by these Terms. If you do not agree, you must not use our Services.
3. Services We Provide
WeProcess will make all reasonable and diligent efforts to complete Instructions in line with professional standards.
WeProcess may decline or withdraw from Instructions where:
Insufficient or inaccurate information is provided;
Carrying out the Instruction may breach our policies, the law, or invalidate our insurance.
4. Partner Responsibilities
You agree to:
Provide all necessary and accurate information required for completion of the Instruction.
Confirm if the matter relates to Legal Aid funding at the time of Instruction.
Ensure that the Documents supplied are lawful and suitable for service.
5. Fees and Payment
Fees will be agreed prior to commencement (“Agreed Fee”).
Invoices are payable within 14 days of issue.
Late payments may incur interest at 8% above the Bank of England base rate, in line with the Late Payment of Commercial Debts (Interest) Act 1998.
Ownership of reports, notes, or documents produced by WeProcess remains with WeProcess until full payment is received.
6. Confidentiality
WeProcess will treat all Partner information as confidential, except where disclosure is:
Required by law, or
Where information enters the public domain.
7. Liability
Our liability to you is limited to £50,000, including costs and expenses, per claim.
WeProcess is not liable for indirect, consequential, or special losses.
Nothing in these Terms limits liability for death or personal injury caused by negligence.
8. Intellectual Property
Copyright in all reports, materials, and outputs created by WeProcess remains with us.
You may only use such materials for the purposes for which they were provided.
9. Termination
You may terminate an Instruction at any time by providing written notice.
WeProcess may terminate an Instruction if:
Payment is not made in accordance with these Terms;
Sufficient information is not provided to complete the Instruction.
Upon termination, you remain liable for the Agreed Fee or a fair proportion of work completed.
10. Third Parties
Our Services and deliverables are for your use only.
No third party may rely on our Services without our prior written consent.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
